These are the general terms for working with Virtual Consonance. This is a starting point based on market standard practice, and should be reviewed by a lawyer for your specific situation before you rely on it.
The plain English version: we deliver the work we scope with you, you own what we build for you, payment terms are agreed upfront in writing, and either side can end the relationship with reasonable notice. The full terms below cover the standard details.
By engaging Virtual Consonance for services, whether through a signed proposal, statement of work, or ongoing agreement, you accept these terms as the general framework for that engagement. A specific written agreement between us and a client takes precedence over these general terms where the two conflict.
We provide custom software development, AI and automation tooling, cloud and infrastructure work, staffing and specialist placement, and related technology services, as scoped in a specific proposal or statement of work for each engagement. The specifics of what is delivered, on what timeline, and for what price are defined per engagement, not by these general terms.
Unless otherwise agreed in writing, code and deliverables built specifically for a client under a paid engagement belong to that client upon full payment. We retain the right to reuse general knowledge, non-client-specific tools, and techniques developed in the course of our work, so long as no confidential or proprietary client information is disclosed.
Payment terms, including price, schedule, and method, are agreed in writing before work begins, whether for a fixed scope project, a retainer, or time-based billing. Late payment may result in a pause of active work until the account is brought current.
We treat information shared with us in the course of an engagement as confidential, and are willing to sign a mutual non-disclosure agreement before any detailed discussion if you prefer. We do not disclose client information to third parties except as needed to deliver the work, such as to a specialist working on the project under the same confidentiality expectations.
We will perform services with reasonable skill and care, consistent with common practice in the software industry. Beyond that, services are provided without other warranties, express or implied, including any warranty of fitness for a particular purpose, except where a specific written agreement states otherwise.
To the extent permitted by law, our liability for any claim arising from an engagement is limited to the amount paid for the specific work giving rise to the claim. Neither party is liable to the other for indirect, incidental, or consequential damages.
Either party may end an ongoing engagement with reasonable written notice, as specified in the relevant statement of work. Work completed and accepted up to the termination date is payable. Fixed scope projects follow the termination terms in their specific agreement.
These terms, and any engagement governed by them, are interpreted under the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law principles, unless a specific written agreement states otherwise.
We may update these general terms as the business or applicable law changes. Material changes will be reflected in the date below. Terms for an active, signed engagement are governed by the version in effect when that engagement was signed, unless both parties agree to an update.
